Even though our Marketplace is private, we still fall under the rules of regulators like the SEC.
To begin with, all SMB securities on the Halagard Marketplace are private placements. The rules about who can participate in a private offering is managed by the SEC (Securities Exchange Commission).
At a minimum, an Investor shall meet the criteria for an ‘Accredited Investor. Details are described in Rule 501 of the Securities Act of 1933.
Members of the general public that don't meet the SEC's minimum standard of an Accredited Investor will not be able to join.
